Terms of Service and Cloud Services Agreement

Introduction

These Terms of Service and Cloud Services Agreement govern use of GetSkipa Timekeeper, a browser based timekeeping application provided by GetSkipa LLC. By creating a business account, accessing the service, or using Timekeeper on behalf of a business, the customer agrees to these terms.

Timekeeper is designed to record work time, organize time records, support worker and manager review, and provide reports that may assist the customer with payroll review. Timekeeper is not payroll software, tax software, legal advice, accounting advice, or labor compliance advice.

These terms are intended to operate together with the Privacy Policy, Subscription and Billing Terms, and Data Processing Addendum. If there is a conflict between documents, the more specific document governs the subject it addresses.

Customer Responsibility and Labor Compliance

The customer is responsible for determining and meeting all payroll, labor, tax, wage, hour, recordkeeping, and employment obligations that apply to its business. GetSkipa does not determine whether a worker is an employee or contractor, whether overtime is owed, whether a pay rule is lawful, or whether exported records satisfy a specific legal requirement.

Timekeeper provides tools for recording, reviewing, approving, correcting, and exporting time records. The customer remains responsible for reviewing those records before using them for payroll, accounting, invoicing, reimbursement, labor compliance, or any other business purpose.

The customer is responsible for configuring the business reporting timezone, pay cycle, overtime threshold, worker overtime eligibility, jobs, locations, schedules, workers, managers, PINs, kiosk links, worker links, and QR codes in a manner that matches the customer’s own business practices and legal obligations.

Account Security, Links, PINs, and QR Codes

Timekeeper uses system generated links, PIN authorization, and worker QR codes as part of its access model. The customer is responsible for distributing, protecting, rotating, and managing all links, PINs, and QR codes issued to owners, managers, workers, and kiosk operators.

Owner Dashboard access requires PIN authorization. Managers may reset worker PINs within the business. Worker QR codes are used for kiosk authentication only and do not contain a worker dashboard link. Kiosk links should be treated as operational access points because anyone with a kiosk link and a valid worker QR code may operate the kiosk workflow.

GetSkipa is not responsible for unauthorized access, incorrect clock activity, data exposure, edits, approvals, exports, or other activity caused by the customer’s failure to protect links, PINs, QR codes, devices, email accounts, browsers, exported files, or other access methods.

Data Retention and Independent Backup Duty

Timekeeper stores operational business records for fourteen (14) months before automated purge. Records may include time logs, worker records, audit logs, approvals, configuration data, and related operational information. Once data is purged, it is permanently unavailable through the service.

Employers may have legal duties to keep payroll, time, wage, and wage computation records for longer than Timekeeper’s retention window. The customer is responsible for exporting, downloading, storing, protecting, and independently retaining any records required beyond the fourteen (14) month service retention period.

GetSkipa is not responsible for fines, penalties, claims, back pay disputes, audit findings, legal expenses, payroll errors, or other damages arising from the customer’s failure to export and retain records outside Timekeeper.

Service Availability and Internet Connection

Timekeeper is a browser based cloud service and requires an active internet connection to communicate with the application. Clock activity, approvals, edits, configuration changes, reports, and exports require successful communication with the service.

GetSkipa may update, maintain, suspend, modify, or discontinue portions of the service as needed to operate, secure, improve, or support Timekeeper. The service is provided on an as available basis and may be interrupted by maintenance, outages, device issues, browser issues, network failures, third party infrastructure events, or circumstances outside GetSkipa’s control.

Third Party Infrastructure and Payment Providers

Timekeeper uses Cloudflare infrastructure, including Cloudflare Pages, Cloudflare Workers, and Cloudflare D1, to host the application and store operational business data. GetSkipa does not operate physical data centers.

Subscription billing and payment processing are handled by Stripe. GetSkipa does not collect or store full credit card numbers, banking credentials, CVVs, or similar payment card data. Payment processing is subject to Stripe’s own terms, policies, security controls, and availability.

GetSkipa is not responsible for interruptions, processing failures, outages, delays, security incidents, or service limitations caused by third party providers except to the extent required by applicable law.

Customer Content and Prohibited Use

The customer retains responsibility for the information entered into Timekeeper, including worker names, identifiers, time records, edits, notes, schedules, jobs, locations, and related business configuration.

The customer may not use Timekeeper for unlawful activity, harassment, surveillance beyond legitimate timekeeping, unauthorized access, credential sharing intended to bypass controls, data scraping, reverse engineering, service abuse, security testing without permission, or any use that interferes with the service or another customer.

GetSkipa may suspend or restrict access if it reasonably believes the service is being misused, payment has failed, security has been compromised, or continued access creates risk to the service, another customer, a worker, or GetSkipa.

Disclaimers

Timekeeper is provided as a timekeeping and records support tool. GetSkipa does not warrant that use of Timekeeper will cause the customer to comply with any employment, payroll, tax, labor, wage, hour, retention, privacy, or industry specific requirement.

To the maximum extent permitted by applicable law, the service is provided on an as is and as available basis, without warranties of merchantability, fitness for a particular purpose, non infringement, uninterrupted operation, or error free operation.

GetSkipa does not guarantee that exported files will be accepted by any third party payroll provider, accounting platform, bank, government agency, or other outside system. The customer is responsible for reviewing file formats, mappings, imports, and payroll results.

Limitation of Liability

To the maximum extent permitted by applicable law, GetSkipa, its owner, agents, contractors, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, payroll errors, labor disputes, regulatory penalties, loss of data, loss of purged records, or failure to retain exported files.

To the maximum extent permitted by applicable law, GetSkipa’s total aggregate liability for all claims arising from or related to the service is limited to the amounts paid by the customer to GetSkipa for Timekeeper during the twelve (12) months preceding the event giving rise to the claim. If no fees were paid, GetSkipa’s total aggregate liability shall not exceed one hundred dollars ($100.00).

Some jurisdictions may not allow certain exclusions or limitations. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

Law Enforcement, Subpoenas, and Legal Requests

GetSkipa does not disclose customer account data to third parties except as instructed by the account owner, as necessary to provide the service, or as required to comply with a valid subpoena, court order, legal process, law enforcement request, or government request.

When legally permitted and reasonably practical, GetSkipa may attempt to notify the affected customer before disclosing account data in response to legal process. GetSkipa may withhold notice when prohibited by law, court order, emergency circumstances, or risk of harm.

Governing Law, Venue, and Miscellaneous Terms

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any legal action arising out of or relating to these terms or the service must be brought in a court of competent jurisdiction located in [Insert County], Texas, unless applicable law requires another venue.

To the maximum extent permitted by law, the customer and GetSkipa knowingly waive the right to a trial by jury for disputes arising out of or related to these terms or the service.

If any provision is found invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These terms, together with the Privacy Policy, Subscription and Billing Terms, and Data Processing Addendum where applicable, form the agreement between the customer and GetSkipa regarding Timekeeper.

Subscription and Billing Terms

Free Plan

Timekeeper may offer a limited free plan for small businesses. The free plan allows up to ten (10) active workers. The owner worker profile counts toward this limit, allowing the owner worker plus up to nine (9) additional active workers.

Free plan customers may use basic timekeeping features but do not receive business wide exports, payroll workbooks, payroll transfer files, or kiosk features unless those features are made available as part of a paid plan, trial, promotion, or other offering.

Employee Access Carve Out

Regardless of the customer’s subscription status or plan level, individual workers may access and download their own personal hours and worker edit logs during the standard retention period, to the extent those records remain available in Timekeeper.

GetSkipa does not lock a worker out of that worker’s own available historical labor records solely because the employer has not paid for business wide export features.

Trial Period

Paid subscriptions may begin with a thirty (30) day trial. The trial begins when the customer creates or activates a subscription through Stripe.

If the customer cancels before the trial ends, the customer will not be charged for that subscription. If the customer does not cancel before the trial ends, Stripe will automatically process payment for the selected plan after the trial period expires.

Cancellation

The customer may cancel a paid subscription through the available account or billing workflow. Cancellation prevents future renewal charges but does not automatically refund prior payments.

If a customer cancels after payment has been processed, paid access continues through the end of the current paid billing period. After the paid period ends, the account may revert to the free plan or another available plan level.

Refunds

Payments are final and non refundable except where required by law or where GetSkipa chooses, in its sole discretion, to issue a refund or account credit for unusual circumstances.

GetSkipa does not provide prorated refunds for partial billing periods or unused portions of an annual term unless required by law or expressly approved by GetSkipa.

Taxes

Prices may not include taxes unless stated otherwise. The customer is responsible for any applicable taxes, duties, assessments, or government charges associated with the purchase or use of the service, except taxes based on GetSkipa’s income.

GetSkipa may collect and remit taxes where required. Tax treatment may vary by jurisdiction and customer location.

Privacy Policy

Overview

This Privacy Policy explains how GetSkipa LLC processes information through GetSkipa Timekeeper. Timekeeper is a browser based timekeeping application used by businesses to record, review, and export work time.

Timekeeper follows a data minimization approach. It is designed to collect and process the information needed to operate the service, maintain time records, support audit history, and provide reports. GetSkipa does not sell customer or worker data.

Customer and GetSkipa Roles

Timekeeper is primarily a business to business service. The customer, usually the employer or business operating Timekeeper, controls the worker records and determines how the service is used in the workplace.

GetSkipa processes information to provide the service requested by the customer. GetSkipa does not independently decide payroll rules, employment classifications, wage obligations, or labor compliance requirements for the customer.

Information Processed

Timekeeper may process business account information, business configuration, worker names, display names, optional first and last names, optional Unique IDs, PIN related authorization information, clock in and clock out timestamps, jobs, locations, approvals, edit logs, audit logs, kiosk activity, export activity, subscription status, and support related information.

Payment card information is handled by Stripe. GetSkipa does not collect or store full credit card numbers, CVVs, or bank account credentials.

No Sale of Data and No Behavioral Advertising

GetSkipa does not sell, rent, trade, or broker customer or worker data.

Timekeeper does not use advertising cookies, behavioral profiling, marketing pixels, or tracking technologies intended to monitor users across the web. Technical data may be processed as necessary to operate, secure, troubleshoot, and maintain the service.

Infrastructure and Subprocessors

Timekeeper uses Cloudflare infrastructure to host the application, process requests, and store operational data, including Cloudflare Pages, Cloudflare Workers, and Cloudflare D1.

Timekeeper uses Stripe for subscription billing and payment processing. Stripe processes payment information according to Stripe’s own terms and privacy practices.

How Information Is Used

Information is used to operate Timekeeper, authenticate access, record clock activity, calculate work time, support approvals, maintain audit logs, generate reports, provide customer support, manage subscriptions, maintain security, troubleshoot issues, and comply with legal obligations.

GetSkipa does not use customer or worker timekeeping data to build advertising profiles or sell audience segments.

Retention and Deletion

Timekeeper stores operational business data for fourteen (14) months before automated purge. Customers are responsible for exporting and retaining any records they need beyond that retention period.

Once data is purged, it is permanently unavailable through the service. GetSkipa does not represent that purged data can be restored.

Legal Requests

GetSkipa may disclose information if required to comply with a valid subpoena, court order, law enforcement request, government request, or other legal process.

When legally permitted and reasonably practical, GetSkipa may attempt to notify the affected customer before disclosure.

Security

GetSkipa uses reasonable technical and organizational measures to operate and protect Timekeeper. No internet based service can be guaranteed to be completely secure or continuously available.

Customers are responsible for protecting owner links, manager links, worker links, kiosk links, PINs, QR codes, devices, browsers, email accounts, and exported files.

Data Processing Addendum

Purpose and Scope

This Data Processing Addendum applies when GetSkipa processes personal data on behalf of a business customer through Timekeeper.

This DPA supplements the Terms of Service. If there is a conflict between this DPA and the Terms of Service regarding processing of personal data, this DPA controls for that subject.

Roles

The customer is the controller or business responsible for determining the purposes and means of processing worker data entered into Timekeeper.

GetSkipa is the processor or service provider processing such data to provide Timekeeper according to the customer’s instructions and the agreement.

Processing Instructions

GetSkipa processes personal data only as necessary to provide, secure, maintain, troubleshoot, support, and improve Timekeeper, comply with legal obligations, and perform the agreement.

GetSkipa will not sell personal data processed through Timekeeper.

Types of Data

Data processed through Timekeeper may include worker names, display names, optional first and last names, optional Unique IDs, time records, timestamps, PIN related authorization information, approval records, edit logs, audit logs, jobs, locations, schedules, kiosk activity, manager actions, and related operational records.

Subprocessors

The customer authorizes GetSkipa to use Cloudflare for hosting, request processing, and database infrastructure, and Stripe for payment processing and subscription management.

GetSkipa remains responsible for selecting service providers appropriate to the operation of Timekeeper and will use commercially reasonable efforts to rely on providers that maintain appropriate security measures for their role.

Security Measures

GetSkipa uses reasonable technical and organizational measures designed to protect personal data processed through Timekeeper. These include browser based access, application controlled database access, business isolation, role based access behavior, PIN authorization for protected areas, and audit logging for significant operational activity.

The customer remains responsible for its own devices, networks, browsers, access links, PINs, QR codes, exported files, and internal distribution practices.

Worker Access

Timekeeper provides workers with access to their own available time records and worker edit logs during the retention period, subject to the service remaining available and the records not having been purged.

This worker access design is intended to support transparency and prevent worker access to personal available records from being dependent solely on the employer’s paid export tier.

Deletion and Retention

Operational data is retained for fourteen (14) months before automated purge. The customer is responsible for exporting and independently retaining records required beyond that period.

After the retention period expires and data is purged, GetSkipa has no obligation to restore or reconstruct deleted records.

Security Incident Notice

If GetSkipa becomes aware of a confirmed security incident involving unauthorized access to personal data processed through Timekeeper, GetSkipa will notify the affected customer without undue delay and, where legally required, within applicable statutory timelines.

Notice may include available information about the nature of the incident, affected data, steps taken, and recommended customer actions, to the extent such information is known and legally permitted to disclose.

Assistance

To the extent reasonably possible through the service, GetSkipa provides tools for customers and workers to access and export available records during the retention period.

Customer requests requiring manual assistance may be subject to verification, technical feasibility, legal restrictions, and reasonable limits.
